7.1. This Website is operated by Invetx from its offices in Massachusetts, U.S. The law of the Commonwealth of Massachusetts shall govern these terms and conditions, without reference to its choice of law rules, and the proper venue for any disputes arising out of or relating to any of the same will be the state and federal courts located in the Commonwealth of Massachusetts.

7.2. If any provision of these Terms is held invalid or unenforceable by any court of competent jurisdiction, the other provisions of these Terms shall remain in full force and effect. Any provision of these Terms held invalid or unenforceable only in part or degree will remain in full force and effect to the extent not held invalid or unenforceable. The parties further agree to replace such invalid or unenforceable provision of these Terms with a valid and enforceable provision that will achieve, to the extent possible, the economic, business and other purposes of such invalid or unenforceable provision. These Terms and the licenses granted hereunder may be assigned by Invetx but may not be assigned by you without the prior express written consent of Invetx. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
